  19       THE ACCOMPANYING PROGRAM IS PROVIDED UNDER THE TERMS OF THIS
  20 COMMON PUBLIC LICENSE (&quot;AGREEMENT&quot;). ANY USE, REPRODUCTION OR
  21 DISTRIBUTION OF THE PROGRAM CONSTITUTES RECIPIENT&apos;S ACCEPTANCE
  22 OF THIS AGREEMENT.
  23 1. DEFINITIONS
  24 &quot;Contribution&quot; means:
  25 a) in the case of the initial Contributor, the initial code and
  26 documentation distributed under this Agreement, and
  27 b) in the case of each subsequent Contributor:
  28 i) changes to the Program, and
  29 ii) additions to the Program;
  30 where such changes and/or additions to the Program originate
  31 from and are distributed by that particular Contributor. A Contribution
  32 &apos;originates&apos; from a Contributor if it was added to the Program
  33 by such Contributor itself or anyone acting on such Contributor&apos;s
  34 behalf. Contributions do not include additions to the Program
  35 which: (i) are separate modules of software distributed in conjunction
  36 with the Program under their own license agreement, and (ii)
  37 are not derivative works of the Program.
  38 &quot;Contributor&quot; means any person or entity that distributes the
  39 Program.
  40 &quot;Licensed Patents &quot; mean patent claims licensable by a Contributor
  41 which are necessarily infringed by the use or sale of its Contribution
  42 alone or when combined with the Program.
  43 &quot;Program&quot; means the Contributions distributed in accordance with
  44 this Agreement.
  45 &quot;Recipient&quot; means anyone who receives the Program under this
  46 Agreement, including all Contributors.
  47 2. GRANT OF RIGHTS
  48 a) Subject to the terms of this Agreement, each Contributor hereby
  49 grants Recipient a non-exclusive, worldwide, royalty-free copyright
  50 license to reproduce, prepare derivative works of, publicly display,
  51 publicly perform, distribute and sublicense the Contribution
  52 of such Contributor, if any, and such derivative works, in source
  53 code and object code form.
  54 b) Subject to the terms of this Agreement, each Contributor hereby
  55 grants Recipient a non-exclusive, worldwide, royalty-free patent
  56 license under Licensed Patents to make, use, sell, offer to sell,
  57 import and otherwise transfer the Contribution of such Contributor,
  58 if any, in source code and object code form. This patent license
  59 shall apply to the combination of the Contribution and the Program
  60 if, at the time the Contribution is added by the Contributor,
  61 such addition of the Contribution causes such combination to
  62 be covered by the Licensed Patents. The patent license shall
  63 not apply to any other combinations which include the Contribution.
  64 No hardware per se is licensed hereunder.
  65 c) Recipient understands that although each Contributor grants
  66 the licenses to its Contributions set forth herein, no assurances
  67 are provided by any Contributor that the Program does not infringe
  68 the patent or other intellectual property rights of any other
  69 entity. Each Contributor disclaims any liability to Recipient
  70 for claims brought by any other entity based on infringement
  71 of intellectual property rights or otherwise. As a condition
  72 to exercising the rights and licenses granted hereunder, each
  73 Recipient hereby assumes sole responsibility to secure any other
  74 intellectual property rights needed, if any. For example, if
  75 a third party patent license is required to allow Recipient to
  76 distribute the Program, it is Recipient&apos;s responsibility to acquire
  77 that license before distributing the Program.
  78 d) Each Contributor represents that to its knowledge it has sufficient
  79 copyright rights in its Contribution, if any, to grant the copyright
  80 license set forth in this Agreement.
  81 3. REQUIREMENTS
  82 A Contributor may choose to distribute the Program in object
  83 code form under its own license agreement, provided that:
  84 a) it complies with the terms and conditions of this Agreement;
  85 and
  86 b) its license agreement:
  87 i) effectively disclaims on behalf of all Contributors all warranties
  88 and conditions, express and implied, including warranties or
  89 conditions of title and non-infringement, and implied warranties
  90 or conditions of merchantability and fitness for a particular
  91 purpose;
  92 ii) effectively excludes on behalf of all Contributors all liability
  93 for damages, including direct, indirect, special, incidental
  94 and consequential damages, such as lost profits;
  95 iii) states that any provisions which differ from this Agreement
  96 are offered by that Contributor alone and not by any other party;
  97 and
  98 iv) states that source code for the Program is available from
  99 such Contributor, and informs licensees how to obtain it in a
 100 reasonable manner on or through a medium customarily used for
 101 software exchange.
 102 When the Program is made available in source code form:
 103 a) it must be made available under this Agreement; and
 104 b) a copy of this Agreement must be included with each copy of
 105 the Program.
 106 Contributors may not remove or alter any copyright notices contained
 107 within the Program.
 108 Each Contributor must identify itself as the originator of its
 109 Contribution, if any, in a manner that reasonably allows subsequent
 110 Recipients to identify the originator of the Contribution.
 111 4. COMMERCIAL DISTRIBUTION
 112 Commercial distributors of software may accept certain responsibilities
 113 with respect to end users, business partners and the like. While
 114 this license is intended to facilitate the commercial use of
 115 the Program, the Contributor who includes the Program in a commercial
 116 product offering should do so in a manner which does not create
 117 potential liability for other Contributors. Therefore, if a Contributor
 118 includes the Program in a commercial product offering, such Contributor
 119 (&quot;Commercial Contributor&quot;) hereby agrees to defend and indemnify
 120 every other Contributor (&quot;Indemnified Contributor&quot;) against any
 121 losses, damages and costs (collectively &quot;Losses&quot;) arising from
 122 claims, lawsuits and other legal actions brought by a third party
 123 against the Indemnified Contributor to the extent caused by the
 124 acts or omissions of such Commercial Contributor in connection
 125 with its distribution of the Program in a commercial product
 126 offering. The obligations in this section do not apply to any
 127 claims or Losses relating to any actual or alleged intellectual
 128 property infringement. In order to qualify, an Indemnified Contributor
 129 must: a) promptly notify the Commercial Contributor in writing
 130 of such claim, and b) allow the Commercial Contributor to control,
 131 and cooperate with the Commercial Contributor in, the defense
 132 and any related settlement negotiations. The Indemnified Contributor
 133 may participate in any such claim at its own expense.
 134 For example, a Contributor might include the Program in a commercial
 135 product offering, Product X. That Contributor is then a Commercial
 136 Contributor. If that Commercial Contributor then makes performance
 137 claims, or offers warranties related to Product X, those performance
 138 claims and warranties are such Commercial Contributor&apos;s responsibility
 139 alone. Under this section, the Commercial Contributor would have
 140 to defend claims against the other Contributors related to those
 141 performance claims and warranties, and if a court requires any
 142 other Contributor to pay any damages as a result, the Commercial
 143 Contributor must pay those damages.
 144 5. NO WARRANTY
 145 EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, THE PROGRAM
 146 IS PROVIDED ON AN &quot;AS IS&quot; BASIS, WITHOUT WARRANTIES OR CONDITIONS
 147 OF ANY KIND, EITHER EXPRESS OR IMPLIED INCLUDING, WITHOUT LIMITATION,
 148 ANY WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY
 149 OR FITNESS FOR A PARTICULAR PURPOSE. Each Recipient is solely
 150 responsible for determining the appropriateness of using and
 151 distributing the Program and assumes all risks associated with
 152 its exercise of rights under this Agreement, including but not
 153 limited to the risks and costs of program errors, compliance
 154 with applicable laws, damage to or loss of data, programs or
 155 equipment, and unavailability or interruption of operations.
 156 6. DISCLAIMER OF LIABILITY
 157 EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, NEITHER RECIPIENT
 158 NOR ANY CONTRIBUTORS SHALL HAVE ANY LIABILITY FOR ANY DIRECT,
 159 INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES
 160 (INCLUDING WITHOUT LIMITATION LOST PROFITS), HOWEVER CAUSED AND
 161 ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY,
 162 OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY
 163 OUT OF THE USE OR DISTRIBUTION OF THE PROGRAM OR THE EXERCISE
 164 OF ANY RIGHTS GRANTED HEREUNDER, EVEN IF ADVISED OF THE POSSIBILITY
 165 OF SUCH DAMAGES.
 166 7. GENERAL
 167 If any provision of this Agreement is invalid or unenforceable
 168 under applicable law, it shall not affect the validity or enforceability
 169 of the remainder of the terms of this Agreement, and without
 170 further action by the parties hereto, such provision shall be
 171 reformed to the minimum extent necessary to make such provision
 172 valid and enforceable.
 173 If Recipient institutes patent litigation against a Contributor
 174 with respect to a patent applicable to software (including a
 175 cross-claim or counterclaim in a lawsuit), then any patent licenses
 176 granted by that Contributor to such Recipient under this Agreement
 177 shall terminate as of the date such litigation is filed. In addition,
 178 if Recipient institutes patent litigation against any entity
 179 (including a cross-claim or counterclaim in a lawsuit) alleging
 180 that the Program itself (excluding combinations of the Program
 181 with other software or hardware) infringes such Recipient&apos;s patent(s),
 182 then such Recipient&apos;s rights granted under Section 2(b) shall
 183 terminate as of the date such litigation is filed.
 184 All Recipient&apos;s rights under this Agreement shall terminate if
 185 it fails to comply with any of the material terms or conditions
 186 of this Agreement and does not cure such failure in a reasonable
 187 period of time after becoming aware of such noncompliance. If
 188 all Recipient&apos;s rights under this Agreement terminate, Recipient
 189 agrees to cease use and distribution of the Program as soon as
 190 reasonably practicable. However, Recipient&apos;s obligations under
 191 this Agreement and any licenses granted by Recipient relating
 192 to the Program shall continue and survive.
 193 Everyone is permitted to copy and distribute copies of this Agreement,
 194 but in order to avoid inconsistency the Agreement is copyrighted
 195 and may only be modified in the following manner. The Agreement
 196 Steward reserves the right to publish new versions (including
 197 revisions) of this Agreement from time to time. No one other
 198 than the Agreement Steward has the right to modify this Agreement.
 199 IBM is the initial Agreement Steward. IBM may assign the responsibility
 200 to serve as the Agreement Steward to a suitable separate entity.
 201 Each new version of the Agreement will be given a distinguishing
 202 version number. The Program (including Contributions) may always
 203 be distributed subject to the version of the Agreement under
 204 which it was received. In addition, after a new version of the
 205 Agreement is published, Contributor may elect to distribute the
 206 Program (including its Contributions) under the new version.
 207 Except as expressly stated in Sections 2(a) and 2(b) above, Recipient
 208 receives no rights or licenses to the intellectual property of
 209 any Contributor under this Agreement, whether expressly, by implication,
 210 estoppel or otherwise. All rights in the Program not expressly
 211 granted under this Agreement are reserved.
 212 This Agreement is governed by the laws of the State of New York
 213 and the intellectual property laws of the United States of America.
 214 No party to this Agreement will bring a legal action under this
 215 Agreement more than one year after the cause of action arose.
 216 Each party waives its rights to a jury trial in any resulting
 217 litigation.
