10 <p><font size=3></font><font size=2>THE ACCOMPANYING PROGRAM IS PROVIDED UNDER
11 THE TERMS OF THIS COMMON PUBLIC LICENSE ("AGREEMENT"). ANY USE, REPRODUCTION OR
12 DISTRIBUTION OF THE PROGRAM CONSTITUTES RECIPIENT'S ACCEPTANCE OF THIS
14 <p><font size=2></font>
15 <p><font size=2><b>1. DEFINITIONS</b></font>
16 <p><font size=2>"Contribution" means:</font>
18 <ul><font size=2>a) in the case of the initial Contributor, the initial code
19 and documentation distributed under this Agreement, and<br clear=left>b) in
20 the case of each subsequent Contributor:</font></ul>
21 <ul><font size=2>i) changes to the Program, and</font></ul>
22 <ul><font size=2>ii) additions to the Program;</font></ul>
23 <ul><font size=2>where such changes and/or additions to the Program originate
24 from and are distributed by that particular Contributor. </font><font size=2>A
25 Contribution 'originates' from a Contributor if it was added to the Program by
26 such Contributor itself or anyone acting on such Contributor's behalf.
27 </font><font size=2>Contributions do not include additions to the Program
28 which: (i) are separate modules of software distributed in conjunction with
29 the Program under their own license agreement, and (ii) are not derivative
30 works of the Program. </font></ul>
31 <p><font size=2></font>
32 <p><font size=2>"Contributor" means any person or entity that distributes the
34 <p><font size=2></font><font size=2></font>
35 <p><font size=2>"Licensed Patents " mean patent claims licensable by a
36 Contributor which are necessarily infringed by the use or sale of its
37 Contribution alone or when combined with the Program. </font>
39 <p><font size=2></font><font size=2></font>
40 <p><font size=2></font><font size=2>"Program" means the Contributions
41 distributed in accordance with this Agreement.</font>
42 <p><font size=2></font>
43 <p><font size=2>"Recipient" means anyone who receives the Program under this
44 Agreement, including all Contributors.</font>
45 <p><font size=2><b></b></font>
46 <p><font size=2><b>2. GRANT OF RIGHTS</b></font>
47 <ul><font size=2></font><font size=2>a) </font><font size=2>Subject to the
48 terms of this Agreement, each Contributor hereby grants</font><font size=2>
49 Recipient a non-exclusive, worldwide, royalty-free copyright license
50 to</font><font color=#ff0000 size=2> </font><font size=2>reproduce, prepare
51 derivative works of, publicly display, publicly perform, distribute and
52 sublicense the Contribution of such Contributor, if any, and such derivative
53 works, in source code and object code form.</font></ul>
54 <ul><font size=2></font></ul>
56 <ul><font size=2></font><font size=2>b) Subject to the terms of this
57 Agreement, each Contributor hereby grants </font><font size=2>Recipient a
58 non-exclusive, worldwide,</font><font color=#008000 size=2> </font><font
59 size=2>royalty-free patent license under Licensed Patents to make, use, sell,
60 offer to sell, import and otherwise transfer the Contribution of such
61 Contributor, if any, in source code and object code form. This patent license
62 shall apply to the combination of the Contribution and the Program if, at the
63 time the Contribution is added by the Contributor, such addition of the
64 Contribution causes such combination to be covered by the Licensed Patents.
65 The patent license shall not apply to any other combinations which include the
66 Contribution. No hardware per se is licensed hereunder. </font></ul>
67 <ul><font size=2></font></ul>
68 <ul><font size=2>c) Recipient understands that although each Contributor
69 grants the licenses to its Contributions set forth herein, no assurances are
70 provided by any Contributor that the Program does not infringe the patent or
71 other intellectual property rights of any other entity. Each Contributor
72 disclaims any liability to Recipient for claims brought by any other entity
73 based on infringement of intellectual property rights or otherwise. As a
74 condition to exercising the rights and licenses granted hereunder, each
75 Recipient hereby assumes sole responsibility to secure any other intellectual
76 property rights needed, if any. For example, if a third party patent license
77 is required to allow Recipient to distribute the Program, it is Recipient's
78 responsibility to acquire that license before distributing the
80 <ul><font size=2></font></ul>
81 <ul><font size=2>d) Each Contributor represents that to its knowledge it has
82 sufficient copyright rights in its Contribution, if any, to grant the
83 copyright license set forth in this Agreement. </font></ul>
84 <ul><font size=2></font></ul>
85 <p><font size=2><b>3. REQUIREMENTS</b></font>
86 <p><font size=2><b></b>A Contributor may choose to distribute the Program in
87 object code form under its own license agreement, provided that:</font>
88 <ul><font size=2>a) it complies with the terms and conditions of this
89 Agreement; and</font></ul>
91 <ul><font size=2>b) its license agreement:</font></ul>
92 <ul><font size=2>i) effectively disclaims</font><font face="Times New Roman"
93 size=2> on behalf of all Contributors all warranties and conditions, express
94 and implied, including warranties or conditions of title and non-infringement,
95 and implied warranties or conditions of merchantability and fitness for a
96 particular purpose; </font></ul>
97 <ul><font face="Times New Roman" size=2>ii) effectively excludes on behalf of
98 all Contributors all liability for damages, including direct, indirect,
99 special, incidental and consequential damages, such as lost profits;
101 <ul><font face="Times New Roman" size=2>iii)</font><font size=2> states that
102 any provisions which differ from this Agreement are offered by that
103 Contributor alone and not by any other party; and</font></ul>
104 <ul><font size=2>iv) states that source code for the Program is available from
105 such Contributor, and informs licensees how to obtain it in a reasonable
106 manner on or through a medium customarily used for software
107 exchange.</font><font color=#0000ff size=2> </font><font color=#ff0000
109 <ul><font color=#ff0000 size=2></font><font size=2></font></ul>
110 <p><font size=2>When the Program is made available in source code form:</font>
112 <ul><font size=2>a) it must be made available under this Agreement; and
114 <ul><font size=2>b) a copy of this Agreement must be included with each copy
115 of the Program. </font></ul>
116 <p><font size=2></font><font color=#0000ff size=2><strike></strike></font>
117 <p><font color=#0000ff size=2><strike></strike></font><font size=2>Contributors
118 may not remove or alter any copyright notices contained within the Program.
120 <p><font size=2></font>
121 <p><font size=2>Each Contributor must identify itself as the originator of its
122 Contribution, if any, in a manner that reasonably allows subsequent Recipients
123 to identify the originator of the Contribution. </font>
124 <p><font size=2></font>
125 <p><font size=2><b>4. COMMERCIAL DISTRIBUTION</b></font>
126 <p><font size=2>Commercial distributors of software may accept certain
127 responsibilities with respect to end users, business partners and the like.
128 While this license is intended to facilitate the commercial use of the Program,
129 the Contributor who includes the Program in a commercial product offering should
130 do so in a manner which does not create potential liability for other
131 Contributors. Therefore, if a Contributor includes the Program in a commercial
132 product offering, such Contributor ("Commercial Contributor") hereby agrees to
133 defend and indemnify every other Contributor ("Indemnified Contributor") against
134 any losses, damages and costs (collectively "Losses") arising from claims,
135 lawsuits and other legal actions brought by a third party against the
136 Indemnified Contributor to the extent caused by the acts or omissions of such
137 Commercial Contributor in connection with its distribution of the Program in a
138 commercial product offering. The obligations in this section do not apply to any
139 claims or Losses relating to any actual or alleged intellectual property
140 infringement. In order to qualify, an Indemnified Contributor must: a) promptly
141 notify the Commercial Contributor in writing of such claim, and b) allow the
142 Commercial Contributor to control, and cooperate with the Commercial Contributor
143 in, the defense and any related settlement negotiations. The Indemnified
144 Contributor may participate in any such claim at its own expense.</font>
145 <p><font size=2></font>
146 <p><font size=2>For example, a Contributor might include the Program in a
147 commercial product offering, Product X. That Contributor is then a Commercial
148 Contributor. If that Commercial Contributor then makes performance claims, or
149 offers warranties related to Product X, those performance claims and warranties
150 are such Commercial Contributor's responsibility alone. Under this section, the
151 Commercial Contributor would have to defend claims against the other
152 Contributors related to those performance claims and warranties, and if a court
153 requires any other Contributor to pay any damages as a result, the Commercial
154 Contributor must pay those damages.</font>
156 <p><font size=2></font><font color=#0000ff size=2></font>
157 <p><font color=#0000ff size=2></font><font size=2><b>5. NO WARRANTY</b></font>
158 <p><font size=2>EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, THE PROGRAM IS
159 PROVIDED ON AN "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND,
160 EITHER EXPRESS OR IMPLIED INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OR
161 CONDITIONS OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A
162 PARTICULAR PURPOSE. Each Recipient is</font><font size=2> solely responsible for
163 determining the appropriateness of using and distributing </font><font
164 size=2>the Program</font><font size=2> and assumes all risks associated with its
165 exercise of rights under this Agreement</font><font size=2>, including but not
166 limited to the risks and costs of program errors, compliance with applicable
167 laws, damage to or loss of data, </font><font size=2>programs or equipment, and
168 unavailability or interruption of operations</font><font size=2>. </font><font
170 <p><font size=2></font>
171 <p><font size=2></font><font size=2><b>6. DISCLAIMER OF LIABILITY</b></font>
172 <p><font size=2></font><font size=2>EXCEPT AS EXPRESSLY SET FORTH IN THIS
173 AGREEMENT, NEITHER RECIPIENT NOR ANY CONTRIBUTORS SHALL HAVE ANY LIABILITY FOR
174 ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES
176 </font><font face="Times New Roman" size=2>(INCLUDING WITHOUT LIMITATION LOST
177 PROFITS),</font><font size=2> HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY,
178 WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR
179 OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OR DISTRIBUTION OF THE PROGRAM OR
180 THE EXERCISE OF ANY RIGHTS GRANTED HEREUNDER, EVEN IF ADVISED OF THE POSSIBILITY
181 OF SUCH DAMAGES.</font>
182 <p><font size=2></font><font size=2></font>
183 <p><font size=2><b>7. GENERAL</b></font>
184 <p><font size=2></font><font size=2>If any provision of this Agreement is
185 invalid or unenforceable under applicable law, it shall not affect the validity
186 or enforceability of the remainder of the terms of this Agreement, and without
187 further action by the parties hereto, such provision shall be reformed to the
188 minimum extent necessary to make such provision valid and enforceable.</font>
189 <p><font size=2></font>
190 <p><font size=2>If Recipient institutes patent litigation against a Contributor
191 with respect to a patent applicable to software (including a cross-claim or
192 counterclaim in a lawsuit), then any patent licenses granted by that Contributor
193 to such Recipient under this Agreement shall terminate as of the date such
194 litigation is filed. In addition, if Recipient institutes patent litigation
195 against any entity (including a cross-claim or counterclaim in a lawsuit)
196 alleging that the Program itself (excluding combinations of the Program with
197 other software or hardware) infringes such Recipient's patent(s), then such
198 Recipient's rights granted under Section 2(b) shall terminate as of the date
199 such litigation is filed. </font><font size=2></font>
200 <p><font size=2></font>
201 <p><font size=2>All Recipient's rights under this Agreement shall terminate if
202 it fails to comply with any of the material terms or conditions of this
203 Agreement and does not cure such failure in a reasonable period of time after
204 becoming aware of such noncompliance. If all Recipient's rights under this
205 Agreement terminate, Recipient agrees to cease use and distribution of the
206 Program as soon as reasonably practicable. However, Recipient's obligations
207 under this Agreement and any licenses granted by Recipient relating to the
208 Program shall continue and survive. </font><font size=2></font>
209 <p><font size=2></font>
210 <p><font size=2></font><font face="Times New Roman" size=2>Everyone is permitted
211 to copy and distribute copies of this Agreement, but in order to avoid
212 inconsistency the Agreement is copyrighted and may only be modified in the
213 following manner. The Agreement Steward reserves the right to </font><font
214 size=2>publish new versions (including revisions) of this Agreement from time to
216 </font><font face="Times New Roman" size=2>time. No one other than the Agreement
217 Steward has the right to modify this Agreement. IBM is the initial Agreement
218 Steward. IBM may assign the responsibility to serve as the Agreement Steward to
219 a suitable separate entity. </font><font size=2>Each new version of the
220 Agreement will be given a distinguishing version number. The Program (including
221 Contributions) may always be distributed subject to the version of the Agreement
222 under which it was received. In addition, after a new version of the Agreement
223 is published, Contributor may elect to distribute the Program (including its
224 Contributions) under the new </font><font face="Times New Roman" size=2>version.
225 </font><font size=2>Except as expressly stated in Sections 2(a) and 2(b) above,
226 Recipient receives no rights or licenses to the intellectual property of any
227 Contributor under this Agreement, whether expressly, </font><font size=2>by
228 implication, estoppel or otherwise</font><font size=2>.</font><font size=2> All
229 rights in the Program not expressly granted under this Agreement are
231 <p><font size=2></font>
232 <p><font size=2>This Agreement is governed by the laws of the State of New York
233 and the intellectual property laws of the United States of America. No party to
234 this Agreement will bring a legal action under this Agreement more than one year
235 after the cause of action arose. Each party waives its rights to a jury trial in
236 any resulting litigation.</font>
